TERMS OF SERVICE

1. Governing Language and Translations

These Terms of Service (the “Terms”) are executed and shall be interpreted solely in the English language. Any translation of these Terms into Korean or any other language is provided for informational and reference purposes only. In the event of any conflict, ambiguity, or inconsistency between the English version and any translated version, the English version shall govern and control in all respects.

2. Acceptance of Terms

By accessing or using BizMaeMae (the “Service”), you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

3. Description of Service and No Broker Status / No Advisor Status

BizMaeMae is an online platform that connects commercial business sellers and independent owners with potential buyers. We provide passive listing hosting services, search functionality, and communication tools.

BIZMAEMAE IS A PURELY PASSIVE INFORMATION MARKETPLACE AND IS NOT A PARTY TO ANY TRANSACTION, NEGOTIATION, LOAN, OR SALE BETWEEN USERS. The Company is not a licensed business broker, real estate broker, investment advisor, legal counsel, or financial advisor, and does not provide brokerage services, valuation consulting, legal representation, or professional consultation. We do not participate in negotiations, we do not handle transaction funds, and we do not charge transaction-based fees or commissions.

4. User Accounts

To keep our community safe, you must follow these account rules:

• You must provide accurate, truthful, and complete information when creating an account
• You are solely responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to use this Service
• You are fully responsible for all activities that occur under your account

5. Listing Guidelines & Commercial Compliance

When creating listings, you agree to comply with all applicable local, state, and federal laws. YOU ASSUME ABSOLUTE, SOLE LIABILITY FOR ALL TEXT, METRICS, FINANCIALS, AND REPRESENTATIONS POSTED UNDER YOUR ACCOUNT.

Additionally, you agree to:

• Provide accurate and truthful information about your business
• Never misrepresent financial data, revenue, expenses, profits, or other material facts
• Only list businesses or commercial assets you have the explicit legal right and authority to sell
• Keep the listing information up to date and mark completed transactions from active status
• Never use the platform for illegal, fraudulent, or deceptive purposes

6. Registered Professionals and Third-Party Content

Users who register or advertise as business brokers, commercial agents, or professionals must provide valid and active license information. Any submission of license details is strictly for administrative record-keeping and platform security. Acceptance by BizMaeMae of this data does NOT constitute formal legal verification, background check, endorsement, warranty, or guarantee of the qualifications, standing, or claims of any registered user. Any reliance on such advertisements, professional claims, or representations made by users on this platform is strictly at your own risk.

7. Prohibited Conduct

You agree not to:

• Harass, abuse, stalk, or harm other users
• Post false, misleading, spammy, or fraudulent content
• Violate any applicable local, state, or federal laws or regulations
• Attempt to hack, bypass, or gain unauthorized access to our systems or networks
• Use automated tools, bots, or scrapers to access or extract data from our Service
• Interfere with the proper functioning of the Service

8. User-Generated Content & Zero-Tolerance Policy

BizMaeMae lets users create content such as listings, profiles, messages, and uploaded images (“User Content”). You are solely responsible for the User Content you post and warrant that you have the rights to post it.

We have zero tolerance for objectionable content or abusive behavior. This includes, without limitation, harassment, hate speech, threats, sexually explicit or obscene material, spam, and fraudulent, deceptive, or illegal content.

We provide in-product tools to report objectionable content or users and to block abusive users. Reports are reviewed and, where a violation is confirmed, we will remove the offending content and may suspend or permanently remove the responsible user’s account — ordinarily within 24 hours of the report. By using the Service you agree to this content policy as a condition of your license to use the app.

9. Offline Transactions & Disclaimer of Warranties

All transactions, due diligence, financial audits, agreements, and exchanges of funds resulting from the use of the Service occur entirely offline, outside of the platform, and directly between the users.

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, either express or implied. BIZMAEMAE EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BizMaeMae does not guarantee the accuracy of listings, the validity of financial data, the legality or quality of businesses listed, or the outcome of any transaction. Users are solely responsible for conducting their own independent due diligence. We strongly advise users to retain licensed legal counsel, Certified Public Accountants (CPAs) and licensed brokerage services before executing any offline agreements.

10. Limitation of Liability and Release

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIZMAEMAE, ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, VALUE, GOODWILL, OR DATA, ARISING FROM YOUR USE OF THE SERVICE OR ANY TRANSACTION CONDUCTED THROUGH THE PLATFORM.

In the event of a dispute between you and any other user, buyer, seller, or broker, you hereby release BizMaeMae from any and all claims, demands, and damages of every kind and nature, known and unknown, arising out of or connected with such disputes.

11. Termination

We reserve the right to suspend or terminate your account at any time for violations of the Terms or for any other reason at our sole discretion, without prior notice.

12. Changes to Terms

We may update the Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law and Class Action Waiver

These Terms and any dispute arising out of or related to the Service shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

ANY LEGAL DISPUTE OR CLAIM ARISING UNDER THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH MANDATORY, BINDING INDIVIDUAL ARBITRATION. YOU HEREBY WAIVE YOUR RIGHT TO A JURY TRIAL AND PARTICIPATE IN A CLASS-ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

14. Copyright Policy (DMCA)

If you believe that any content on the Service infringes your copyright, please notify our Designated Agent with the following written information: a physical or electronic signature of the copyright owner; identification of the copyrighted work claimed to have been infringed; identification of the material that is claimed to be infringing; your contact information; a statement that you have a good faith belief that use of the material is unauthorized; and a statement that the information in the notification is accurate under penalty of perjury. 15. Asset Sales Only & Strict Securities Law Disclaimer

THE SERVICE IS INTENDED STRICTLY AND EXCLUSIVELY FOR THE ADVERTISING OF COMMERCIAL ASSET SALES, BULK SALES, COMMERCIAL LEASES, AND GOODWILL TRANSFERS (COLLECTIVELY, “ASSET SALES”). THE SERVICE SHALL NOT BE USED TO ADVERTISE, OFFER, SELL, OR DISTRIBUTE SECURITIES, CORPORATE STOCK, EQUITY INTERESTS, PARTNERSHIP SHARES, OR ANY OTHER FINANCIAL INSTRUMENTS THAT FALL UNDER THE REGULATION OF THE U.S. SECURITIES AND EXCHANGE COMMISSION (SEC) OR STATE BLUE SKY LAWS. USERS ARE STRICTLY PROHIBITED FROM STRUCTURING TRANSACTIONS HOSTED ON THIS PLATFORM AS EQUITY OR STOCK TRANSFERS WITHOUT RETAINING INDEPENDENT, LICENSED SECURITIES COUNSEL OFFLINE.
